REC governance reform 2020

We're making some changes to our governance

Why is the REC changing the Articles of Association?

In light of the Covid-19 outbreak, the REC are putting our Governance changes on hold so we can support our members at this challenging time. The EGM has also been postponed for the foreseeable future and we will keep members informed of next steps after the current pause. All votes made up until now will still count. You can still vote until close of play 23 March via our independent voting platform, sent directly to you by Civica.

How will these changes benefit members?:

These changes won't affect your membership, but we hope they will improve the way we are run by our board. The changes will help us modernise and provide a structure that allows us to be more responsive and agile on your behalf. We ran a consultation period for members between 6 February and 6 March. Following feedback from our members we have now published our final proposals below.

  1. The amendments to our governance and articles of association will lead to a more effective and efficient board and advisory council.
  2. We will be able to attract a more diverse set of candidates for the board. If you feel that you may fit the bill or have any recommendations please email us.
  3. We will be able to bring specific skills and experience to the board whilst maintaining important levels of oversight.

How do members vote on these proposals?

Members (Professional and Corporate) are eligible to vote to accept or reject the proposal between 10 March and 23 March. Members who have both Professional and Corporate membership can vote twice for both memberships. You will receive an email from Civica an independent third party who is managing this voting process on behalf of the REC.

If you would like some more information about the specific changes we are making to the articles email closes on 23 March. Members can also vote in person at the EGM which has now been postponed until further notice due to the Covid-19 outbreak.

Important dates:

  • 10 March - final governance published and members will receive an email from Civica, with the option to vote online. Voting closes on 23 March.
  • EGM postponed until further notice  - members can also vote to accept or reject the proposals in person at Extraordinary General Meeting (EGM).
  • 24 June - Annual General Meeting (AGM) and first meeting of new Board
